The terms governing your use of Propel Legal services

Effective Date: February 20, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Propel Legal LLC, an Idaho limited liability company ("Propel Legal," "we," "us," or "our"). By accessing or using our website, assessment tools, reports, consulting services, or any related offerings (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Propel Legal provides law firm optimization services, including:

  • Assessment tools — an online assessment that evaluates your firm's operational maturity across five pillars (People, Process, Product, Tools, and Rules) and generates a personalized report
  • Consulting services — strategic advisory, fractional CFO/CMO services, and hands-on optimization engagements
  • AI-powered tools — software tools for time capture, document management, legal drafting, and related functions
  • Reports and deliverables — self-guided deep-dive reports, strategy session outputs, and related documentation

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Services, you represent and warrant that you meet these requirements.

4. Account and Data

Certain Services require you to provide personal and professional information (such as your name, email, and firm details). You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any credentials or access information associated with your use of the Services.

Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Fees and Payment

Some Services are offered free of charge (such as the initial assessment). Other Services, including deep-dive reports and consulting engagements, require payment as specified at the time of purchase.

  • All fees are quoted in U.S. dollars unless otherwise stated
  • Payment is due at the time of purchase or as otherwise agreed in writing
  • Consulting engagements may be governed by a separate statement of work or engagement letter, which will control in the event of any conflict with these Terms

6. Refund Policy

Self-guided reports ($99) are non-refundable once delivered, as they contain personalized analysis generated from your assessment inputs. For consulting services ($499 and above), refund terms will be specified in the applicable engagement letter. If you are unsatisfied with a paid service, please contact us at matt@newbillconsulting.com and we will work with you in good faith to resolve the issue.

7. Intellectual Property

All content, materials, methodologies, frameworks, software, and branding associated with the Services — including the 5-Pillar Optimization Framework, maturity scoring model, assessment questions, website design, and Propel Legal name and logo — are the exclusive property of Propel Legal LLC and are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our proprietary materials without prior written consent from Propel Legal.

Upon purchase, you receive a limited, non-exclusive, non-transferable license to use your personalized reports and deliverables for your firm's internal business purposes only.

8. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Submit false, misleading, or inaccurate information through the assessment or any other form
  • Attempt to reverse-engineer, decompile, or extract the source code of any software or tools provided through the Services
  • Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Resell, sublicense, or redistribute any reports, tools, or deliverables to third parties
  • Use automated systems (bots, scrapers, etc.) to access the Services without prior written permission

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Propel Legal disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing:

  • Assessment scores, maturity levels, and profit estimates are generated using proprietary models and are intended as directional guidance — not guarantees of specific financial outcomes
  • Consulting advice and recommendations are based on the information you provide and general industry knowledge; results may vary based on implementation, market conditions, and firm-specific factors
  • We do not warrant that the Services will be uninterrupted, error-free, or secure

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPEL LEGAL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of or inability to use the Services, regardless of the theory of liability (contract, tort, or otherwise), even if Propel Legal has been advised of the possibility of such damages.

Our total aggregate liability for any claims arising under or related to these Terms or the Services shall not exceed the amount you have paid to Propel Legal in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Propel Legal LLC and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Not Legal Advice

Propel Legal provides business optimization, operational consulting, and technology services for law firms. Nothing in our Services constitutes legal advice, and no attorney-client relationship is created between you and Propel Legal. Our assessments, reports, and recommendations address operational and financial performance — not legal matters. You should consult a qualified attorney for any legal questions or concerns.

13. Third-Party Services

The Services may integrate with or link to third-party platforms, tools, or services (such as database hosting, analytics, and payment processing). Your use of those third-party services is subject to their own terms and privacy policies. Propel Legal is not responsible for the availability, accuracy, or practices of third-party services.

14. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if continued access poses a risk to the Services or other users. Upon termination, your right to use the Services ceases immediately, though provisions that by their nature should survive (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict-of-law principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may modify these Terms at any time by posting the revised version on this page with an updated effective date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any applicable engagement letters or statements of work, constitute the entire agreement between you and Propel Legal with respect to the Services and supersede all prior or contemporaneous agreements, understandings, or communications.
